Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Service. These Terms constitute a legally binding agreement between you and the Company.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Service.

Interpretation and Definitions

Interpretation

Words with initial capital letters have defined meanings under the following conditions. These definitions have the same meaning whether they appear in singular or plural.

Definitions

For the purposes of these Terms of Service:

• “Account” means a directory account you may create to leave reviews, save favorites, and personalize your experience on the Service.
• “Company” (referred to as “the Company”, “we”, “us”, or “our”) refers to DevAppStudios LLC, doing business as Honisto.
• “Content” refers to any text, images, ratings, or other information that you post or submit through the Service, including reviews.
• “Device” means any device that can access the Service, such as a computer, mobile phone, or tablet.
• “Service” refers to the Honisto public business directory at honisto.com.
• “Terms” (also referred to as “Terms of Service”) mean these Terms of Service that form the entire agreement between you and the Company regarding the use of the Service.
• “You” means the individual accessing or using the Service, whether as a visitor browsing the directory or as a registered account holder.

Eligibility

The directory is freely browsable by anyone, including children. However, creating an Account and leaving reviews is intended for individuals aged 16 and older. We do not permit anyone under the age of 16 to create an Account.

Your access to and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy, which describes our policies and procedures regarding the collection, use, and disclosure of your personal information.

License to Use the Service

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your personal, non-commercial use. This includes browsing business listings, searching the directory, and submitting reviews.

The Company reserves all rights not expressly granted to you under these Terms. This license will terminate automatically if you violate any of these Terms or if your Account is terminated for any reason.

User Accounts

You do not need an Account to browse the directory or search for businesses. An Account is required to leave reviews, save favorites, and access other personalized features.

When you create an Account, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your Account credentials and for any activities or actions that occur under your Account. You agree to notify us immediately upon becoming aware of any unauthorized use of your Account.

You may not create an Account using the name or identity of another person, or use a name that is offensive, vulgar, or obscene. Each person is permitted one Account only.

Reviews and Content

Review Guidelines

By submitting a review — whether through your Account or via a review link sent to you by a business — you represent and warrant that:

• Your review reflects your genuine, honest experience with the business.
• You have actually visited, hired, or used the services of the business you are reviewing.
• You are not being compensated, incentivized, or coerced by any party to leave the review, whether positive or negative.
• Your review is accurate and truthful to the best of your knowledge.
• You are not affiliated with a competing business of the business you are reviewing.

Content License

By posting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute such Content on and through the Service. This license is necessary for us to operate the Service, including displaying your reviews on business listings and in search results.

You retain ownership of your Content. However, as described in our Privacy Policy, reviews are retained indefinitely and remain on the directory even if you delete your Account.

Content Restrictions

You may not post, upload, or submit any Content that is:

• False, misleading, or not based on a genuine experience with the business.
• Defamatory, discriminatory, racist, hateful, or mean-spirited, including references or commentary targeting any individual or group based on race, religion, sexual orientation, gender, national or ethnic origin, disability, or other protected characteristics.
• Obscene, sexually explicit, or otherwise inappropriate.
• Spam, unsolicited advertising, or promotional material.
• Containing or linking to viruses, malware, phishing sites, or other harmful components.
• Infringing on the intellectual property or privacy rights of any third party.
• Impersonating any person or entity.

Review Moderation

The Company reserves the right to remove any review that it determines, in its sole discretion, to be fake, fraudulent, written in bad faith, part of a pattern of inauthentic activity, or otherwise in violation of these Terms. The Company may take action to protect the integrity of the review system, including removing reviews and suspending or terminating the accounts of reviewers who engage in such activity.

Your Liability for Reviews

You are solely responsible for the content of your reviews. Posting false, defamatory, or paid-for reviews may expose you to legal action from the affected business. The Company is not a party to any dispute between you and a business regarding the content of your review and has no obligation to mediate such disputes.

As a platform provider, the Company is protected under Section 230 of the Communications Decency Act and is not liable for user-generated content, including reviews.

Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination of your Account:

• Posting fake, fraudulent, or paid-for reviews, whether positive or negative.
• Engaging in a pattern of posting reviews for businesses you have not actually visited or used.
• Accepting compensation or incentives from any party to post reviews.
• Harassing, threatening, or intimidating business owners, their employees, or other users.
• Attempting to gain unauthorized access to other users' Accounts, data, or any part of the Service.
• Scraping, data mining, or using automated tools (bots, crawlers, spiders) to access or collect data from the Service.
• Reverse engineering, decompiling, or otherwise attempting to derive the source code of the Service.
• Interfering with, disrupting, or attempting to compromise the security, integrity, or performance of the Service.
• Creating multiple Accounts to circumvent a ban or restriction.
• Using the Service for any illegal purpose or in violation of any applicable law.

Violation of any of the above will result in immediate termination of your Account without notice. Activities that compromise the security, integrity, or infrastructure of the Service may also result in legal action against you.

Communications

By creating an Account, you agree to receive transactional and service-related communications from us, including account notifications and system updates. These communications are a necessary part of the Service and are not promotional advertising.

Copyright and Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of the Company. The Service is protected by copyright, trademark, and other laws of the United States. Our trademarks and trade dress may not be used without the prior written consent of the Company.

You represent and warrant that all Content you post to the Service is your own original work and does not infringe on the intellectual property rights of any third party.

Links to Other Websites

The Service contains links to third-party websites, including the websites and social media profiles of businesses listed in the directory. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable for any damage or loss caused by or in connection with your use of or reliance on any third-party content, goods, or services.

Your Feedback

You assign all rights, title, and interest in any feedback, suggestions, ideas, or recommendations you provide to the Company regarding the Service. If for any reason such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and exploit such feedback without restriction. Feedback does not include your reviews or personal data.

Termination

Termination by the Company

The Service is provided free of charge. The Company reserves the right to suspend, restrict, or terminate your Account at any time, for any reason, at its sole discretion, with or without notice. This includes, but is not limited to, violations of these Terms, patterns of fraudulent or inauthentic review activity, or any conduct the Company deems harmful to the Service or its users.

If your Account is terminated, you may still browse the directory but will not be able to post reviews, save favorites, or access other account features.

Voluntary Account Deletion

You may delete your Account at any time through your account settings. Upon deletion, your personal account information is permanently deleted as described in our Privacy Policy. Your reviews remain on the directory.

Terminated Accounts

Accounts terminated for cause may not re-register for the Service. The Company may retain identifying information from terminated accounts for security purposes and to enforce this restriction.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your Content, including any reviews you post; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of the rights of any third party, including intellectual property, privacy, or publicity rights.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to damages for loss of data or other information, for personal injury, or loss of privacy arising out of or in any way related to the use of or inability to use the Service, even if the Company has been advised of the possibility of such damages.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

“As Is” and “As Available” Disclaimer

The Service is provided to you “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limitation to the foregoing, the Company makes no warranty or representation that the Service will meet your requirements, be available without interruption, be error-free, or that the information provided by businesses listed on the directory is accurate, complete, or current. The Company is not responsible for the quality, safety, legality, or any other aspect of the businesses listed on the directory.

Some jurisdictions do not allow the exclusion of certain types of warranties, so some or all of the above exclusions may not apply to you. In such a case, the exclusions shall be applied to the greatest extent enforceable under applicable law.

Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the Company's reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service failures, power failures, cyberattacks, pandemics, or other events of force majeure.

Dispute Resolution

Informal Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company at legal@honisto.com.

Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Ohio, United States, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

Limitation on Claims

Any claim or cause of action arising out of or related to your use of the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. The “Last updated” date at the top of this page will always reflect the most current version. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
